Terms of Service

1. Acceptance of terms

These Terms of Service ("Terms") form a marketplace agreement governing access to and use of the Recruiters.co website and platform (the "Service"). By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization as well as the individual acting on its behalf.

These Terms are supplemented by our Marketplace Agreement (platform-wide participation rules), our Recruiter Agreement (obligations specific to recruiter and agency accounts), and our Employer Agreement (obligations specific to employer accounts). In the event of a direct conflict, the more specific agreement controls for the subject matter it addresses.

2. Definitions

  • Recruiter — an individual or organization sourcing candidates for job orders on the Service, whether independent or acting on behalf of an agency.
  • Agency — an organization account representing one or more recruiters or sourcers.
  • Employer — an organization account posting job orders to hire for open roles.
  • Candidate — an individual whose profile is submitted to a job order by a recruiter or agency.
  • Job Order — a role posted on the Service, including its compensation, requirements, and visibility rules.
  • Submission — a candidate presented against a specific job order by a candidate-side recruiter or agency.
  • Placement — a confirmed hire resulting from a submission, triggering fee and payout obligations under the applicable Split Agreement.
  • Split Agreement — the agreement, executed on the Service, that sets the fee basis and the allocation (in basis points) of a placement fee among the participating job-side recruiter, candidate-side recruiter, sourcer (if any), and the Platform Fee.
  • Platform Fee — the portion of a placement fee retained by Recruiters.co for providing the Service, disclosed to the parties at the time a Split Agreement is presented for signature.
  • Guarantee — a replacement or refund period and terms, if any, attached to a placement, as set out in the applicable Split Agreement or employer/agency practice on file.
  • Payout— a transfer of a participant's share of a placement fee via Stripe Connect once the applicable conditions for release are met.

3. Eligibility & accounts

The Service is intended for organizations and professionals acting in a business capacity. You must provide accurate registration and organization information, keep it up to date, and keep your account credentials confidential. You are responsible for activity conducted through your account and for promptly notifying us of any suspected unauthorized use. We may suspend or terminate accounts that provide false information, fail organization verification, or otherwise violate these Terms.

4. Nature of the service

Recruiters.co provides marketplace software and payment facilitation that allows recruiters, agencies, and employers to find one another, negotiate and record split-fee terms, and route payments for completed placements. Recruiters.co is not a party to the Split Agreements formed between users, is not an employer, staffing agency, employment agency, or fiduciary to any user or candidate, and does not guarantee the accuracy of any job order or candidate submission, the performance of any recruiter or employer, or the ultimate outcome of any placement, guarantee, or payment obligation between users.

Recruiters.co facilitates the creation, storage, and mechanical enforcement (through platform tooling) of Split Agreements, but the underlying commercial bargain — including fee amounts, split percentages, and guarantee terms — is negotiated and agreed to by the users themselves.

5. Recruiter & agency obligations

Recruiters and agencies agree to:

  • Source candidates lawfully and represent them accurately;
  • Hold, or obtain, the candidate consent necessary to submit and share a candidate's information as described in our Candidate Privacy Notice;
  • Provide accurate information about their experience, specialties, and track record;
  • Honor the split terms set out in a signed Split Agreement;
  • Refrain from misrepresenting a candidate's qualifications, interest level, or availability to an employer or another recruiter.

6. Employer obligations

Employers agree to:

  • Provide accurate job order information, including compensation range and requirements;
  • Conduct hiring lawfully, including compliance with applicable employment, anti-discrimination, and labor laws;
  • Engage with submissions in a timely manner consistent with the job order's stated process; and
  • Pay valid invoices for completed placements according to the applicable Split Agreement and these Terms.

7. Candidate data & consent

Users submitting candidate information represent that they have a lawful basis — typically the candidate's informed consent — to submit that information through the Service and to share it with the employers and recruiters described in the applicable job order's visibility rules. Users agree to honor the terms of our Candidate Privacy Notice with respect to any candidate they submit, including scope of consent, withdrawal requests, and do-not-contact designations.

8. Split agreements & platform fee

Users set their own split terms for a given job order and submission, which the Service records in a signed Split Agreement and helps enforce mechanically — for example, by locking allocation percentages once signed, and by validating that all allocations for a placement total 100% before payout can proceed. The Platform Fee applicable to a transaction is disclosed to the parties at the time the Split Agreement is presented for signature.

Recruiters.co is not responsible for the fairness, adequacy, or performance of the underlying commercial bargain reflected in a Split Agreement — that bargain is between the users who sign it.

9. Payments, invoicing & payouts

Placement invoicing, payment collection, and payouts are processed through Stripe and Stripe Connect. Each recipient organization is separately onboarded to Stripe Connect and subject to Stripe's own verification and payout-eligibility requirements. Users are solely responsible for determining and remitting their own taxes arising from amounts paid or received through the Service.

Guarantees, refunds, and replacement terms are governed by the applicable Split Agreement and any employer or agency guarantee practices on file, not by these Terms directly. Subscription fees, where applicable, are billed according to the plan selected at recruiters.co/pricing and are separate from placement transaction fees.

10. Non-circumvention

Once a submission has occurred under a signed Split Agreement, or once an employer has engaged with a specific candidate through the Service, users agree not to circumvent the marketplace by moving that job order, candidate, or hiring relationship off-platform in order to avoid the Platform Fee or agreed split terms, for the period specified in the applicable Split Agreement or Marketplace Agreement. Suspected circumvention may be investigated as a trust and safety matter and, where confirmed, may result in fee liability, account restriction, or termination.

11. Acceptable use

You agree not to:

  • Submit false, misleading, or duplicate job orders or candidate profiles;
  • Attempt to access another organization's confidential job orders, candidates, or financial data without authorization;
  • Scrape, harvest, or bulk-export marketplace data outside of provided export tools;
  • Use the Service to discriminate unlawfully in hiring or candidate representation;
  • Interfere with the Service's operation, security, or availability, including through automated abuse of rate-limited endpoints; or
  • Use the Service for any purpose that violates applicable law or the rights of others.

12. Verification & trust

We may request documentation to verify an organization's or individual's identity, business legitimacy, or professional background before granting expanded marketplace access (such as confidential job orders). Verification is a risk-reduction measure, not a guarantee — Recruiters.co does not warrant the accuracy of any user's claims, credentials, or performance, verified or not.

13. Intellectual property

The Service, including its software, design, and platform content (excluding user-submitted content), is owned by Recruiters.co or its licensors and protected by applicable intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for its intended business purpose. Users retain ownership of content they submit (job orders, candidate submissions, messages), and grant Recruiters.co a license to host, process, and display that content as necessary to operate and provide the Service.

14. Confidentiality

Users agree to keep confidential any employer information, candidate information, and other marketplace participants' business information they access through the Service private, and to use it only for purposes permitted under a signed Split Agreement or these Terms — not for any independent business purpose outside the Service.

15. Third-party services

The Service integrates or relies on third-party services, including authentication, payment, hosting, and communications providers described in our Privacy Policy. Your use of any optional third-party integration (such as an applicant tracking system) is also subject to that provider's own terms.

16. AI features

The Service may offer AI-assisted features, such as candidate-to-job matching suggestions or drafting assistance. These features are assistive only: they are designed to support, not replace, human judgment, and require human review and approval before any submission, offer, or other consequential action is taken. Recruiters.co does not make solely-automated decisions that produce legal or similarly significant effects on a user or candidate.

17. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Nothing on the Service, including this document, constitutes legal, tax, or financial advice, and Recruiters.co does not warrant the accuracy of any job order, candidate submission, verification result, or AI-assisted suggestion.

18. Limitation of liability

To the maximum extent permitted by law, Recruiters.co will not be liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from your use of the Service or from disputes between marketplace participants arising out of a Split Agreement, job order, submission, or placement. Recruiters.co's total liability for any claim arising from the Service will not exceed the greater of the fees you paid Recruiters.co in the twelve months preceding the claim or a nominal amount specified in the order form governing your account, if any.

19. Indemnification

You agree to indemnify and hold Recruiters.co harmless from claims, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your content, your breach of these Terms, or your violation of applicable law, including any claim by a candidate or another user arising from a job order, submission, or placement you were party to.

20. Term, suspension & termination

These Terms remain in effect while you maintain an account. Account and organization records may carry a lifecycle state — active, pending verification, suspended, restricted, deactivated, or banned — reflecting verification status, compliance or moderation action, or user-initiated deactivation. We may suspend or terminate an account for violation of these Terms, suspected fraud, or as otherwise described here. Termination does not relieve either party of obligations that accrued before termination, including fees owed on completed placements, confidentiality obligations, and non-circumvention obligations.

21. Dispute resolution & governing law

[Arbitration and venue provisions, if any, to be specified by counsel.] Disputes between marketplace participants arising from a Split Agreement are, in the first instance, subject to the platform's dispute-review process described in our Marketplace Agreement, without prejudice to either party's legal rights.

22. Changes to these terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above and, where appropriate, through additional notice within the Service. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

23. Miscellaneous

You may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets. If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. These Terms, together with the Marketplace Agreement, Recruiter Agreement, Employer Agreement, Privacy Policy, and Candidate Privacy Notice, constitute the entire agreement between you and Recruiters.co regarding the Service. Neither party is liable for delay or failure to perform due to causes beyond its reasonable control.
