1. Scope of this agreement
This Recruiter Agreement applies to recruiter and agency accounts using the Recruiters.co marketplace, in addition to the general Marketplace Agreement and Terms of Service.
2. Recruiter obligations
Recruiters agree to represent job orders and candidates accurately, maintain appropriate licensure where required by applicable law, and conduct marketplace activity professionally and in good faith with other participants.
3. Split agreements & fee splits
Any split-fee arrangement between recruiters is governed by the split agreement signed by the participating recruiters for that specific job order and candidate submission. Split percentages, the fee basis, and platform fee are locked to the terms of that signed agreement and are not subject to unilateral modification by any one participant after submission.
4. Candidate ownership & submission rules
Recruiters must have an appropriate basis, typically documented candidate consent, before submitting a candidate profile. Duplicate submissions and ownership disputes are resolved according to the marketplace's ownership rules, including timestamped submission records and, where necessary, structured human review.
5. Subscription fees & transaction fees
Recruiters are billed subscription fees according to their selected plan at recruiters.co/pricing. Placement transaction fees apply separately to completed placements, at the rate set by the applicable split agreement.
6. Payment & payout terms
Payouts are processed after an employer's invoice is collected, net of any platform fee and, where applicable, a guarantee reserve withheld under the terms below. Payout timing and amounts are calculated according to the signed split agreement for the placement.
7. Guarantee periods & reserves
Where a placement is subject to a guarantee period, a portion of the recruiter's fee may be withheld as a reserve until the guarantee period lapses. If a refund is owed to the employer during the guarantee period, the refund is deducted from the reserve according to the guarantee schedule specified in the split agreement (for example, prorated, sliding-scale, or full-refund).
8. Non-circumvention
Recruiters agree not to circumvent the marketplace by continuing a recruiting relationship with a job order or candidate outside the platform in order to avoid fees or agreed split terms, once a submission has occurred under a signed split agreement.
9. Confidentiality
Recruiters must keep confidential any non-public employer or candidate information encountered through the marketplace, using it only for purposes permitted under a signed split agreement.
10. Termination
Either party may terminate a recruiter account as described in the Terms of Service. Termination does not affect obligations under split agreements already signed, including guarantee and payout obligations already accrued.
11. Limitation of liability
Recruiters.co's liability in connection with recruiter activity on the marketplace is limited as described in the Terms of Service.
